This document outlines the general terms and conditions that are part of your comprehensive Service Agreement with the Company. These terms should be read in conjunction with your specific Service Agreement, which details your selected services and payment schedule.

1. Term of Agreement and Renewal

• Initial Term: The term of this Agreement for each service shall be twelve (12) months, beginning on the date the equipment is fully installed and certified as operational by the Company. The estimated time to provision service is approximately 30 days after the execution of the Service Agreement, though this does not apply to renewal agreements.

• Automatic Renewal: Upon completion of the initial term, this Agreement shall automatically renew in one-month intervals at the then-current rates.

• Cancellation: To cancel service or change the scope of the Agreement, either Party must provide the other with thirty (30) days’ written notice prior to the start of the next billing cycle. Any changes to the scope of the Agreement are subject to mutual written agreement.

2. Premises Access

• You agree to allow the Company and our agents the right to enter your property (the “Premises”) at reasonable times to install, configure, maintain, inspect, upgrade, or remove Company equipment and services. You warrant that you are the owner of the Premises or have the authority from the owner to grant us this access. If requested, you agree to provide evidence of this authorization.

3. Charges, Billing, and Payment

• Service Charges: You agree to pay the Company a monthly recurring charge at the rate(s) set forth in your specific Service Agreement and payment schedule. Billing for recurring charges will begin when services are provisioned. Any one-time installation charges are due with the first invoice.

• Customer Responsibilities: You are responsible for your own equipment and for maintaining PCI compliance, except where explicitly outlined as a provided service in this Agreement.

• Billing Cycle: Line services and facilities are billed one month in advance.

• Late Fees: Any payment received by the Company later than twenty (20) days after the invoice date shall be considered late and will be subject to an additional service fee on the outstanding balance at the rate of 1.5% per month.

4. Taxes and Surcharges

• Any applicable federal, state, or local taxes, duties, surcharges, or fees (such as use, excise, sales, gross receipts, or franchise fees) levied against the Company as a result of the services provided to you are not included in your rates and will be charged to and paid by you.

5. Suspension or Termination by the Company

• For Non-Payment: If full payment is not made by the due date, the Company has the right to suspend your service. This right may be exercised on or after the 30th calendar day past the due date, provided that we have notified you of the non-payment and you have failed to remedy it within ten (10) calendar days of the notice.

• For Prohibited Use: Your service may be suspended or terminated if it is used for any unlawful purpose or in violation of the Company’s Acceptable Use Policy (www.wnmc.com/acceptable-use-policy). For such a violation, we will provide notice, and if the prohibited use is not remedied within one (1) business day, service may be suspended.

• For Regulatory Reasons: If a formal order from the FCC or other governmental agency prevents the Company from providing services under the terms or rates of this Agreement, the Company reserves the right to terminate service without liability. You will be provided a copy of the order and notified of the date the service will end. All payment obligations will remain in effect through the final date of service.

6. Early Termination by Customer

• You have the right to terminate this Agreement prior to the end of the term with thirty (30) days’ written notice. In the event of early termination, you agree to pay an early termination fee consisting of the sum of the following, which will be due upon receipt of the final invoice:

  • a) The full amount of the monthly recurring charges for any leased lines, multiplied by the number of months remaining in the contract term.

  • b) The full refurbishment cost of any equipment provided by the Company.

  • c) Any outstanding engineering and construction costs that were incurred to provide service to the premise, divided by the total number of months in the term and multiplied by the number of months remaining.
